1. Definitions

• "Platform" refers to the website (https://www.tenforty.tax), mobile applications, and any related software or services offered by TenForty.
• "User" refers to any individual or entity accessing the Platform or using its services.

2. Acceptance of Terms

By accessing or using the Platform, you agree to:

• These Terms and Conditions.
• Our Privacy Policy.
• Any additional terms or policies specific to certain services, which will be presented to you for acceptance.

If you do not agree with any part of these terms, you must discontinue using the Platform immediately.

3. User Eligibility

To use TenForty, you must:

• Be at least 18 years old.
• Provide accurate and truthful information during registration.
• Not be located in countries subject to government embargoes or sanctions (e.g., Cuba, Iran, North Korea).
• Not engage in prohibited activities outlined in these Terms.

4. Account Registration and Security

Account Creation:

• Users must provide an email address, password, and other required details (e.g., name, address, phone number) to create an account.

Authentication:

• We utilize secure protocols, including OTP (One-Time Password) verification and HTTPS encryption, to safeguard your account and personal information. Users are strictly prohibited from sharing OTPs with anyone. TenForty will never request your OTP via email, phone, or other channels. Sharing your OTP may compromise the security of your account, and TenForty will not be responsible for any unauthorized access or activities resulting from such actions.

Responsibility for Account:

• You are solely responsible for maintaining the confidentiality of your login credentials, including your email and password, OTP, and for all activities conducted through your account. TenForty will not be liable for any loss or damage arising from unauthorized access to your account due to your failure to secure your credentials. If you suspect any unauthorized access or breach of your account security, you must notify us immediately at info@tenforty.tax. Failure to report promptly may limit our ability to assist you in resolving the issue.

5. Use of Services

Profile Management

• Users can manage their personal information, including name, address, phone number, and other profile details, in the "Profile" section. Updates to personal information can be securely made through the platform.

Uploading Receipts

• Uploading Receipts: Users can upload digital receipts (maximum size: 10 MB). Uploaded receipts are encrypted during transmission and securely stored to protect user privacy.
• AI Processing: Receipts are analyzed using advanced AI to extract key details such as vendor name, date, amount, and transaction category.
• Editing and Verification: Users may edit, delete, or verify receipt data for accuracy directly through the platform.

Uploading Coupons

• Secure Storage: Users can upload physical or digital coupons to the platform. Coupons are securely stored and accessible to the user.
• Management Tools: Coupons can be organized, accessed, or deleted by the user as needed.

Uploading Gift Cards

• Encrypted Storage: Gift cards uploaded by users are encrypted during transmission and at rest, ensuring that sensitive details are protected and accessible only to the user.
• Management Tools: Users can view, manage, or delete gift cards securely through the platform.

Expense Insights

The platform provides visual tools and analytics to help users track and understand their spending patterns:

• Visual Charts:
  • Bar Chart: Displays spending by category, such as food, utilities, or miscellaneous expenses.
  • Pie Chart: Highlights proportional distribution of spending across categories.
  • Line Chart: Tracks total spending trends over time.
  • Detailed Breakdown: Offers insights into individual transactions with details such as vendor, description, amount, and category.
• TenForty ensures that receipts and gift cards are encrypted for maximum security, while all other user data is securely stored and accessible to the user for managing their financial activities.

6. Payment and Subscriptions

Free Access for Now

• Currently, the TenForty platform and its features are offered free of charge as an introductory offer.

Future Paid Plans

• TenForty reserves the right to introduce paid plans, including but not limited to subscription-based models, tiered pricing, or upgrade options, at its sole discretion. These plans may require payment for continued access to specific features, services, or enhancements. Users acknowledge and agree that TenForty is not obligated to seek user permission to implement such pricing changes. Continued use of the platform after the introduction of paid plans constitutes acceptance of these terms.

Subscription Terms

• Fees: Subscription fees, including but not limited to one-time charges or recurring payments, will be detailed at the time of implementation. Users agree to pay the fees as outlined upon subscribing.
• Auto-Renewal: Subscriptions will automatically renew unless canceled by the user at least 24 hours before the renewal date.
• Refund Policy: All fees are non-refundable except as required by applicable law.
• TenForty will provide advance notice of the introduction of paid plans or pricing changes via the platform or email. Users who do not agree with the pricing changes may discontinue use of the platform.

7. User Content

Ownership:

• You retain ownership of any content you upload, including receipts, coupons, and gift cards.

License to Use Content:

• By uploading content, including but not limited to receipts, coupons, gift cards, and transaction details, you grant TenForty a non-exclusive, royalty-free license to use, process, store, and categorize your content for operational purposes. This includes but is not limited to improving platform functionality, enhancing user experience, and generating insights or analytics related to your usage of the platform.

Prohibited Content:

• Users are strictly prohibited from uploading content that is harmful, illegal, inappropriate, or violates these Terms and Conditions. This includes but is not limited to content that is defamatory, obscene, fraudulent, or infringes on the rights of others. TenForty reserves the right to suspend or terminate user accounts without prior notice if such violations are detected or reported.

8. Data Security

Encryption:

• All user data, including but not limited to personal details, receipts, coupons, and gift cards, is encrypted during transmission and at rest using industry-standard protocols such as HTTPS and SSL. This ensures data integrity and confidentiality.

Privacy:

• User-specific information is accessible only to the respective user. TenForty administrators are restricted from accessing encrypted content, including sensitive items like receipts and gift cards, further safeguarding your privacy.

Disclaimer:

• Although TenForty employs robust security measures to protect your data, absolute security against unauthorized access cannot be guaranteed. Users are encouraged to take necessary precautions to protect their account credentials and other sensitive information.

9. Prohibited Activities

Users agree not to:

• Use the Platform for illegal purposes.
• Reverse-engineer or decompile any part of the software.
• Share login credentials with others.
• Upload malicious or harmful content.

10. Intellectual Property

Platform Ownership:

• All content, software, and materials on the Platform are owned by TenForty or its licensors. Users may not copy, distribute, or create derivative works without written permission.

Limited License:

• Users are granted a non-exclusive, revocable license to access and use the Platform for personal, non-commercial purposes.

11. Third-Party Integrations

Third-Party Services

• TenForty utilizes third-party services to enhance the user experience and improve platform functionality. By using the platform, users agree to the inclusion of such third-party services and acknowledge that TenForty may update, modify, or discontinue these integrations at its sole discretion without requiring user permission.

Disclaimers

• TenForty is not responsible for inaccuracies, errors, or issues arising from the use of third-party services. Users are encouraged to verify the accuracy and reliability of any information or features powered by third-party providers.

12. Changes to Services

• TenForty reserves the right to modify, suspend, or discontinue services at any time. Users will be notified of significant changes via email or the Platform.

13. Termination

Termination by Users

• You may terminate your account at any time by contacting us at info@tenforty.tax.

Termination by TenForty

• TenForty reserves the right to suspend or terminate user accounts at its sole discretion, including but not limited to violations of these Terms and Conditions, unlawful activities, or actions deemed harmful to the platform or its users.

Effect of Termination

• Upon termination, users will lose access to their accounts, including all data stored on the platform. TenForty is not obligated to provide copies of any user data post-termination.

Limitation of Liability

• Users agree that TenForty will not be liable for any damages, losses, or claims arising from the suspension or termination of an account. By using the platform, users waive their right to initiate legal proceedings against TenForty for account termination.

14. Limitation of Liability

To the fullest extent permitted by law, TenForty LLC shall not be liable for:

• Indirect Damages: Including but not limited to data loss, revenue loss, or any consequential, incidental, or special damages.
• User Negligence: Issues arising from user actions or omissions, such as failure to secure login credentials or misuse of the platform.
• Third-Party Services: Errors, inaccuracies, or malfunctions caused by third-party integrations or services utilized by the platform.

TenForty LLC will not owe users any compensation, refunds, or damages of any kind, regardless of the form of action, whether in contract, tort, or otherwise, even if TenForty has been advised of the possibility of such damages. Users agree to waive all claims against TenForty LLC to the maximum extent allowable by law.

15. Dispute Resolution

Arbitration:

• Disputes will be resolved through binding arbitration in Lathrop, CA.

Class Action Waiver:

• Users waive the right to participate in class-action lawsuits against TenForty.

16. Governing Law

These Terms and Conditions, and any disputes arising from or relating to your use of the platform, shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict of laws principles. Users agree to submit to the exclusive jurisdiction of the courts located in California for the resolution of any legal matters.
